By accessing and using this site, you agree to these terms and conditions. If you do not agree with any of the provisions below, please do not use the site.

2. Definitions

• Seller / Operator: NIUA SRL, the company that administers the website and provides embroidery products and services.
• Buyer / Client: any individual or legal entity that accesses the website and/or places an order.
• Customized Products: textile items embroidered or customized according to client specifications (logo, design, text, or other graphic elements provided by the client).
• Standard Products: textile items available in stock, without customization or embroidery, offered in their original form.
• Order: the request submitted by the client through the website, subject to the quotation process described in Section 3.
• Price Quote: the document sent by the Seller to the Client, which contains the final price, technical specifications, and execution deadlines for the requested order.
• Contract: the agreement between the Seller and the Buyer, consisting of these terms and conditions, the accepted price quote, and any other attached documents.

3. The Order Process (Quote-Based System)

Given the personalized nature of most of our products, orders on our site are processed through a quotation system. The process unfolds in the following stages:

1. Submit Request: The client selects desired products, uploads graphic files (logo, design), and completes the order form with necessary specifications (quantity, colors, dimensions, embroidery placement, etc.).
2. Evaluation & Quotation: Our team analyzes the request, checks technical feasibility, and sends the client a detailed price quote. This quote includes: unit and total price, technical specifications of the embroidery, estimated production time, and delivery conditions.
3. Order Confirmation: The client reviews the price quote and either accepts it or requests modifications. The order becomes firm only after the client explicitly accepts the price quote.
4. Production: Once the order is confirmed and payment is made (partially or in full, as per agreed terms), products enter production.
5. Delivery: Finished products are dispatched according to the timelines communicated in the price quote.

Simply submitting an order request does not constitute a sales contract. The contract is formed exclusively upon the client's acceptance of the price quote.

4. Pricing and Payment Methods

All prices displayed on the site are expressed in RON (Romanian Lei) and include VAT, where applicable.

Prices displayed on the site are indicative and informational. The final price is that communicated in the price quote sent to the client and may vary depending on: complexity of the embroidery design, number of colors used, embroidery size, ordered quantity, type of textile material chosen, and other technical specifications.

The Seller reserves the right to change prices displayed on the site at any time without prior notice. Price changes do not affect orders for which a price quote has already been accepted.

Accepted payment methods are communicated in the price quote. Depending on the nature and value of the order, the Seller may request an advance payment (partial or full) before production begins.

5. Delivery

Product delivery is carried out by courier services within Romania. Delivery times are estimated and communicated in the price quote.

The delivery period begins once production is completed and products are handed over to the courier. The estimated delivery time for personalized products includes both production time and shipping time.

Delivery costs are communicated in the price quote and may vary depending on parcel weight, delivery address, and chosen courier service.

The risk of loss or damage to products passes to the buyer at the moment they (or a third party designated by the buyer) physically take possession of the products.

Should the package show visible damage upon delivery, the buyer has the right to refuse acceptance and immediately notify the Seller at contact@niualabs.com .

6. Right of Withdrawal

In accordance with the provisions of Emergency Ordinance no. 34/2014 regarding consumer rights in contracts concluded with professionals, consumers benefit from a period of 14 calendar days to exercise the right of withdrawal from a distance contract, without needing to state any reason and without incurring costs other than those for returning the products.

The withdrawal period expires after 14 calendar days from the day on which the consumer or a third party, other than the carrier, indicated by the consumer, acquires physical possession of the products.

Standard products (non-embroidered): are eligible for withdrawal within 14 calendar days, provided the products are returned in their original, unused, unwashed condition, with intact labels and in their original packaging.

7. Product Warranty and Conformity

The Seller guarantees that the delivered products comply with the specifications accepted in the price offer and with applicable quality standards.

For customized products, conformity is evaluated against the technical specifications agreed upon in the price offer (design, colors, dimensions, positioning). Minor differences inherent to the embroidery process (color variations of up to 5%, dimensional tolerances of +/- 2mm) do not constitute conformity defects.

Consumers benefit from the legal guarantee of conformity in accordance with the provisions of Law no. 449/2003 on the sale of products and associated guarantees, republished, with subsequent amendments.

If you find that a delivered product does not conform to the order, you must notify the Seller within a maximum of 48 hours from product receipt, to the email address contact@niualabs.com , accompanying the notification with product photos and a description of the defect found.

The Seller will analyze the complaint and, if applicable, will proceed with product replacement, re-embroidery, or refund, depending on the nature of the defect and the agreement of the parties.

8. Intellectual Property

The content of the site (texts, images, graphics, logos, design elements, source code, databases) is the property of NIUA SRL or its licensors and is protected by Romanian and international copyright and intellectual property laws.

Copying, reproducing, distributing, modifying, or otherwise using the site's content without the prior written consent of NIUA SRL is prohibited.

Graphic files provided by the client: The client declares and guarantees ownership of all necessary rights (copyright, trademark rights, licenses) over logos, designs, and other graphic elements submitted for embroidery. The client is solely responsible for any infringement of third-party intellectual property rights.

NIUA SRL assumes no responsibility for the infringement of third-party intellectual property rights as a result of executing an order based on materials provided by the client.

9. Limitation of Liability

NIUA SRL makes all reasonable efforts to ensure the accuracy of the information presented on the site. However, we do not guarantee that the site will operate without interruptions or errors.

NIUA SRL will not be liable for:

• Indirect, incidental, or consequential damages resulting from the use or inability to use the site
• Delivery delays caused by courier services, force majeure conditions, or other circumstances beyond the Seller's control
• Errors in the display of prices, images, or product specifications on the site, which will be corrected in the price offer
• Damages resulting from unauthorized use of the client's account, caused by the client's failure to maintain confidentiality of access data
• Infringement of third-party intellectual property rights by executing orders based on graphic materials provided by the client

In any case, the total liability of NIUA SRL will not exceed the total value of the order in connection with which the damage occurred.

10. Dispute Resolution

In the event of a dispute between the Seller and the Buyer, the parties will make every effort to resolve the dispute amicably.

In accordance with the provisions of Government Ordinance no. 38/2015 regarding alternative dispute resolution (ADR) between consumers and traders, consumers have the right to appeal to alternative dispute resolution entities (ADR entities) for extrajudicial resolution of any dispute.

The European Commission provides an online platform for dispute resolution, accessible at: ec.europa.eu/consumers/odr .

If the dispute cannot be resolved amicably or through ADR entities, it will be submitted for resolution to the competent courts in Romania.

11. Applicable Law

These terms and conditions are governed by and interpreted in accordance with Romanian law.

The main applicable normative acts include, but are not limited to:

• Government Emergency Ordinance no. 34/2014 on consumer rights in contracts concluded with professionals
• Law no. 449/2003 on the sale of products and associated guarantees
• Government Ordinance no. 21/1992 on consumer protection
• Government Ordinance no. 38/2015 on alternative dispute resolution between consumers and traders
• Regulation (EU) 2016/679 (GDPR) on the protection of personal data
• Law no. 365/2002 on electronic commerce

Should any clause of these terms be declared void or unenforceable, the remaining clauses shall remain fully valid and applicable.

12. Amendments to the Terms and Conditions

NIUA SRL reserves the right to amend these terms and conditions at any time, without prior notice. Amendments take effect upon publication on the website. The date of the last update is indicated at the top of this page.

Continued use of the website after the publication of amendments constitutes tacit acceptance of the new terms and conditions.

In the event of significant changes affecting consumer rights, we will make reasonable efforts to inform you by email (if you have an active account) or by a visible announcement on the website.
